These Terms of Service ("Terms") govern your access to and use of the software, applications, websites, and related services (collectively, the "Products") provided by Wrenio Studio, a trading name of Techno Assist, a business registered in the Netherlands (Chamber of Commerce / KvK no. 39097485) ("Wrenio Studio", "we", "us", or "our"). By downloading, installing, purchasing, or using any of our Products, you agree to these Terms. If you do not agree, do not use the Products.
01Our Products
We make small, focused software tools. Our Products fall into two families:
- WordPress plugins — some free, some paid, and some in private launch.
- Desktop and other applications, including Wrenio ClipWise ("ClipWise"), a clipboard manager with AI-assisted text and image features for Windows and macOS, offered as a free tier and as paid subscription plans.
We may add, change, or discontinue Products or features over time.
02Licence and acceptable use
Subject to these Terms and your payment of any applicable fees, we grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the Products for your own lawful use. You may not:
- resell, sublicense, rent, or redistribute the Products except as expressly permitted;
- reverse-engineer, decompile, or attempt to extract source code except to the extent permitted by applicable law;
- use the Products to break the law, infringe others' rights, or transmit harmful or unlawful content;
- circumvent, script, automate, or abuse usage limits, quotas, or licensing in our Products; or
- resell or redistribute AI output generated through our managed AI features (see section 6).
03Payments, resellers, and taxes
We sell our Products through trusted third-party resellers that act as the seller and/or merchant of record for your purchase. Which reseller applies depends on the Product:
- WordPress plugins are sold and processed through Freemius (and any other authorized reseller we may designate).
- Applications, including ClipWise, are sold and processed through Paddle (Paddle.com Market Limited), which acts as the merchant of record.
When you buy through one of these resellers, your purchase is also subject to that reseller's own buyer terms and privacy policy, and your payment is made to the reseller, not directly to us. The reseller handles billing, payment processing, invoicing, and the calculation, collection, and remittance of applicable VAT and sales taxes based on your location. We do not store your full payment-card details.
Prices are shown before checkout — ClipWise plans are quoted in US dollars (USD); plugin prices may be shown in euros (EUR). Taxes may be added at checkout. We may change prices from time to time; changes do not affect a subscription period you have already paid for.
04Subscriptions, renewals, and cancellation
ClipWise is offered as a free tier and as paid subscription plans billed monthly or annually. Paid subscriptions renew automatically at the end of each billing period at the then-current price, using your chosen payment method, until you cancel.
- You can cancel at any time through the reseller's customer portal or the link in your purchase confirmation email. Cancellation takes effect at the end of the current paid period; you keep access until then.
- Some plans include usage allowances (for example, a number of managed-AI actions per month, or per day on the free tier). Allowances reset on the schedule shown for your plan and do not roll over.
- We will give reasonable advance notice of any price change affecting your renewal.
05Refunds
Refunds are handled in accordance with our Refund Policy and processed by the relevant reseller (Paddle or Freemius). Nothing in these Terms removes any statutory refund or withdrawal rights you have as a consumer.
06ClipWise Managed AI and bring-your-own-key
ClipWise can perform AI actions (such as summarizing, translating, rewriting, or extracting text from images) in two ways:
- ClipWise Managed AI — when you use our managed AI, the content you submit for an action is sent to our backend and on to a third-party AI provider (currently Google Gemini) to generate the result, then returned to you. We process this content only to provide and secure the service, as described in our Privacy Policy, and we do not use it to train our own models. Managed AI requires an account and is subject to plan quotas and fair-use limits.
- Bring your own key (BYO) — alternatively, you can connect your own AI provider (such as OpenAI, Anthropic, or a local Ollama model). In that case your content is sent directly from your device to the provider you choose, under your own account and their terms — it does not pass through our servers.
AI output is generated automatically and may be inaccurate, incomplete, or unsuitable for your purpose; you are responsible for reviewing it before relying on it. Do not submit content you are not permitted to process, and do not use the AI features to generate unlawful or infringing material. Your clipboard history is stored locally on your own device.
07Intellectual property
We and our licensors own all rights in the Products, including the software, branding, and content we provide. You retain ownership of the content you create or process using the Products. These Terms do not transfer any of our intellectual property to you except for the limited licence in section 2.
08Privacy
Our handling of personal data is described in our Privacy Policy, which forms part of these Terms.
09Disclaimers
The Products are provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Products will be uninterrupted, error-free, or that AI output will be accurate.
10Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising from your use of the Products. Our total liability for any claim relating to the Products will not exceed the amount you paid us (or the relevant reseller) for the Product in the twelve months before the claim. Nothing in these Terms limits liability that cannot be limited under applicable law, including your mandatory rights as a consumer.
11Suspension and termination
We may suspend or terminate access to a Product if you breach these Terms, misuse the service, or to comply with the law. You may stop using the Products at any time; cancelling a paid subscription is described in section 4.
12Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "last updated" date above and, where the changes are material, take reasonable steps to notify you. Your continued use of the Products after the changes take effect constitutes acceptance.
13Governing law
These Terms are governed by the laws of the Netherlands, and the competent courts of the Netherlands will have jurisdiction, without prejudice to any mandatory consumer-protection rights you have in your country of residence.
